1. Acceptance of Terms
By accessing or using the ColorPath platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and ColorPath ("Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
2. Description of Service
ColorPath is a city districts explorer platform providing information about local neighborhoods, businesses, events, and curated paths in Atlanta and other cities. The Service includes AI-generated content, user-submitted business listings, and event information sourced from third parties. All information is provided for general informational purposes only.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and current information and to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. User-Submitted Content
By submitting business listings, reviews, photos, or other content ("User Content") to the Service, you grant ColorPath a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with the Service. You represent and warrant that:
- You own or have the necessary rights to submit the content.
- The content does not infringe any third-party intellectual property rights.
- The content is accurate and not misleading.
- The content does not violate any applicable law or regulation.
5. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose.
- Submit false, misleading, or fraudulent content or business information.
- Attempt to gain unauthorized access to any portion of the Service.
- Scrape, crawl, or harvest data from the Service without our written consent.
- Interfere with or disrupt the integrity or performance of the Service.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
6. AI-Generated Content Disclaimer
ColorPath uses artificial intelligence to generate, enhance, and organize content including business descriptions, event information, and district guides. AI-generated content may contain errors or inaccuracies. We make no warranty regarding the accuracy, completeness, or reliability of AI-generated content. You should independently verify any information before relying on it for business, travel, or other decisions.
7. Intellectual Property
All content, design, logos, and materials on the Service β excluding User Content β are owned by or licensed to ColorPath and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without prior written permission.
8. Third-Party Links & Information
The Service may contain links to third-party websites and information sourced from third parties. We do not control and are not responsible for the content, accuracy, or practices of third-party sites. Links are provided for convenience only and do not constitute an endorsement.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COLORPATH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES β INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES β ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).
11. BINDING ARBITRATION & WAIVER OF CLASS ACTION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Agreement to Arbitrate. You and ColorPath agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service β including questions about the existence, validity, or scope of this arbitration agreement β shall be resolved exclusively through final and binding individual arbitration, rather than in court. This arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. Β§ 1 et seq.).
Arbitration Rules. Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, or by a mutually agreed-upon arbitrator. The arbitration will be conducted in Atlanta, Georgia, or via remote/virtual hearing. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION WAIVER. YOU AND COLORPATH EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
Exceptions. Notwithstanding the above, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent imminent harm, and either party may bring an individual claim in small claims court if the claim qualifies.
Opt-Out. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to hello@colorpath.com with the subject line "Arbitration Opt-Out." Opting out will not affect any other provision of these Terms.
12. Governing Law
Except as modified by the arbitration clause above, these Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to personal jurisdiction in those courts.
13. Indemnification
You agree to indemnify, defend, and hold harmless ColorPath and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your User Content, or your violation of these Terms.
14. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may discontinue use of the Service at any time. Sections of these Terms that by their nature should survive termination β including arbitration, limitation of liability, and indemnification β shall survive.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ColorPath regarding the Service and supersede all prior agreements, understandings, and representations.
